ACCEPTABLE USE POLICY BY ACUITY INFORMATION SYSTEMS, LLC

This Acceptable Use Policy provides a general description of this website’s policy on the Acceptable Use of the Acuity Information Systems web site. THE ACUITYINFOSYS WEB SITE IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. YOU EXPRESSLY AGREE THAT YOUR ACCESS TO THE ACUITYINFOSYS WEB SITE IS AT YOUR SOLE RISK. ACUITY INFORMATION SYSTEMS DOES NOT WARRANT THAT THE ACUITYINFOSYS WEB SITE WILL BE UNINTERRUPTED OR ERROR FREE, NOR DOES ACUITY INFORMATION SYSTEMS MAKE ANY WARRANTY AS TO ANY RESULTS THAT MAY BE OBTAINED BY ACCESS OF THE ACUITYINFOSYS WEB SITE. ACUITY INFORMATION SYSTEMS MAKES NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IN RELATION THE ACCESS OF THE ACUITYIS WEB SITE.

  1. Limitation of Liability

YOUR SOLE AND EXCLUSIVE REMEDY HEREUNDER SHALL BE FOR YOU TO DISCONTINUE YOUR ACCESS TO THE ACUITYINFOSYS WEB SITE AND TERMINATE THIS USER AGREEMENT.

  1. Indemnification

You agree to indemnify, hold harmless and defend AcuityInfoSys, its subsidiaries and affiliated companies from and against any action, cause, claim, damage, debt, demand or liability, including reasonable costs and attorney’s fees, asserted by any person, arising out of or relating to: (a) this User Agreement; (b) your access of the AcuityInfoSys Web Site, including any data or work transmitted or received by you; and (c) any libelous, slanderous, indecent or other statement made or republished by you.

  1. Miscellaneous

a. Law. This User Agreement shall be governed by the States of Nevada and North Carolina without reference to conflicts of laws.

b. Amendment. AcuityInfoSys shall have the right, at any time and without notice, to add to or modify the terms of this User Agreement, simply by posting such amended terms herein.

c. Waiver and Severability. No failure, delay in exercising or enforcing any right or remedy hereunder by AcuityInfoSys shall constitute a waiver of any other right or remedy, or future exercise thereof. If any provision of this User Agreement is determined to be invalid under any applicable statute or rule of law, it is to that extent to be deemed omitted, and the balance of the User Agreement shall remain enforceable.

d. Survival. The respective rights and obligations of the parties under Sections 2, 3 and 4 shall survive any termination or expiration of this User Agreement
